1. Acceptance of these terms

These Terms of Service ("Terms") are a legal agreement between you and Agile Pharmas Inc. (an Ontario corporation, doing business as Agile Pharmas and AgileRx, "AgileRx", "we", "us"). By visiting this website or using the AgileRx application, you agree to these Terms. If you are using AgileRx on behalf of a pharmacy, you confirm you have the authority to bind that pharmacy to these Terms.

2. What this covers

These Terms govern this website (agilepharmas.com) and general use of the AgileRx application. A pharmacy that subscribes to AgileRx also signs a subscription agreement at onboarding, which sets out pricing, term, and service-level commitments for that pharmacy specifically — where the two conflict on a paid subscription, the signed subscription agreement controls.

Our Privacy Policy (agilepharmas.com/privacy) explains what information we collect and how we handle it, including the Personal Health Information Protection Act, 2004 (PHIPA) roles that apply to the application. It is incorporated into these Terms by reference.

3. Who can use AgileRx

• AgileRx is built for pharmacy professionals at accredited Ontario community pharmacies, and for people evaluating AgileRx on a pharmacy’s behalf.
• You must be at least 18 years old and able to form a binding contract to use the application.
• You are responsible for making sure your use of AgileRx, and the credentials of anyone you provision, complies with your pharmacy’s own obligations to the Ontario College of Pharmacists and applicable law.

4. Accounts and access

• AgileRx issues a unique login to each registered staff member. Credentials are not to be shared between staff — this is both a security requirement and part of how AgileRx keeps an accurate audit log of who accessed or changed a record.
• You are responsible for all activity under your account, and for notifying us promptly at hello@agilepharmas.com if you believe an account has been compromised.
• We may suspend an account we reasonably believe poses a security risk, or that is being used in a way that violates these Terms.

5. Subscriptions, pricing and billing

Current published pricing is on our Pricing page (agilepharmas.com/pricing). Pricing is per store; a multi-location group is quoted separately.

• Where a founding rate or promotional period is offered, its terms (including when standard pricing resumes) are stated at the point of offer and in your subscription agreement.
• The Complete tier is billed month-to-month with no multi-year commitment; you may cancel future billing at any time, effective at the end of the current billing period.
• Fees are exclusive of applicable taxes. We do not prorate or refund a partial billing period on cancellation, except where required by law.

6. Acceptable use

You agree not to:

• Use AgileRx to enter false or misleading clinical or billing information, or to submit a claim you know is not eligible.
• Attempt to access another pharmacy’s data, or another staff member’s account, without authorization.
• Reverse-engineer, scrape, or attempt to circumvent the security of the application, or use it to build a competing product.
• Use the application in a way that violates the Ontario College of Pharmacists’ standards, PHIPA, or any other law that applies to your pharmacy.

7. Professional and clinical responsibility

AgileRx is clinical services software. It surfaces eligibility rules, billing checks, and mandatory reporting fields to help pharmacy staff work faster and catch errors — it does not replace clinical judgment, and it does not provide medical advice.

Every clinical decision, every claim submitted, and every incident report filed through AgileRx is made and owned by the pharmacist or pharmacy professional using it, not by AgileRx. As explained in our Privacy Policy, each subscribing pharmacy remains the Health Information Custodian for its patients’ records, with AgileRx acting only as its agent.

Billing Guard and similar features surface findings for a pharmacist to review — they do not silently block or automatically submit a claim, and they do not guarantee a claim will be accepted or that an audit finding will not occur.

8. Third-party services and integrations

AgileRx is designed to run alongside the dispensing system your pharmacy already uses (for example Fillware), including an assisted worklist mode that requires no integration. Where a direct integration exists or is in development, its status is stated on the relevant product page — we do not claim an integration is live unless it is.

AgileRx submits anonymous incident data to ISMP Canada’s National Incident Data Repository (NIDR) as part of meeting the AIMS mandate, and may rely on other third-party infrastructure providers disclosed in our Privacy Policy. We are not responsible for the availability of third-party services outside our control.

9. Intellectual property

The AgileRx application, this website, and their content, features, and functionality are owned by Agile Pharmas Inc. and are protected by copyright and other intellectual property laws. Subject to these Terms, we grant your pharmacy a limited, non-exclusive, non-transferable right to use AgileRx for its own clinical and billing operations. You retain ownership of the clinical and patient data your pharmacy enters into AgileRx.

10. Disclaimers and limitation of liability

AgileRx is provided "as is." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including that the application will be uninterrupted, error-free, or that every claim it helps you file will be accepted by the ministry or a third-party payor.

To the fullest extent permitted by law, our aggregate liability arising from these Terms or your use of AgileRx will not exceed the fees your pharmacy paid us in the 12 months before the claim arose. Nothing in these Terms limits liability that cannot be limited under applicable law.

11. Termination

You may stop using AgileRx and cancel your subscription at any time as described in Section 5. We may suspend or terminate access for a material breach of these Terms, including the acceptable-use restrictions in Section 6, and will give notice where practical before doing so.

On termination, your pharmacy remains the Health Information Custodian for its records and is responsible for any obligations to retain or transfer patient data under applicable law; we will work with you on an orderly export consistent with our Privacy Policy.

12. Changes to these terms

We'll update this page if these Terms change, and update the effective date above. For a material change affecting a subscribing pharmacy's paid use of AgileRx, we will also give reasonable notice directly.

13. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law principles.
